What the CROP? ​ A "CROP" is a "Commercial Registered Office Provider." In Pennsylvania, every business—whether it's an LLC, corporation, nonprofit, or registered partnership—is required to have a physical office that is open Monday through Friday during regular business hours. A responsible adult must be available at this location to accept legal documents. A Pennsylvania CROP is a company authorized by the Secretary of State to act as an agent for receiving legal mail, such as service of process, on behalf of your business. CROPs provide a reliable way for official entities to contact your business. In most other states, CROPs are referred to as "Registered Agents." If your business is served with a lawsuit, subpoena, or other legal documents, the sheriff will deliver the paperwork to your business address—even if that address is your home. By appointing a CROP, legal documents are sent to their address instead of your home or office. The CROP then forwards your mail to you promptly and securely. According to Pennsylvania law (Title 15 §109), having a registered agent is mandatory. At a minimum, your registered agent must provide a physical address for public records and be available at that address during regular business hours.
Legal Requirements for CROPs According to Pennsylvania state law, all business entities required to provide a registered office address may contract with a CROP for this service. A Pennsylvania CROP must meet the following requirements: -- Ability to accept legal documents: The CROP must be capable of receiving legal notices and documents on behalf of your business. -- Physical address in Pennsylvania: The CROP must have a physical registered office address within Pennsylvania—P.O. Boxes are not permitted. -- Pennsylvania residency: The CROP must either be a Pennsylvania resident or a business that offers registered office services within the state. Important Note: If your company’s registered agent cannot be served after reasonable attempts, legal documents will be sent to your company’s secretary at the principal address. If the secretary cannot be reached, you may never know you were served. This could lead to serious issues for your business, including the risk of a judgment being entered against you without your knowledge.
Changing your Pennsylvania Registered Office There are two ways to change your registered office in Pennsylvania: 1. Hire us: We’ll handle the process for you and complete the change of agent form at no cost. 2. Do it yourself: File a Change of Registered Office form (DSCB: 15-1507/5507/8625/8825) with the Pennsylvania Department of State. Remember changing your registered office does not affect your agreement with a prior CROP - you will have to cancel that arrangement directly with them.
